Due Diligence on an acquisition

Our client was considering the acquisition of a satellite television station. On previous acquisitions the client had not undertaken a formal due diligence exercise and following these acquisitions a number of integration problems had occurred.

Our work identified a number of liabilities that had not been captured within the targets accounts, issues over the age and ownership of assets, issues over employee contracts and staff terms and conditions.

As a result of our work our client was able to approach the transactions with “eyes wide open” and make a commercial decision based on full information and could make adjustments to the terms of the agreement.
